Financial Institutions

Financial institutions and their holding and service companies face special issues, and we have assisted clients with issues related to national and state banks, FDIC regulation, and topics related corporate governance, mergers and acquisitions and financings.
Our founder, Patrick Reardon, handled the closing in 1988 of the government-assisted acquisition of the assets of a failed financial institution, which until recently was the second largest such transaction in the U.S. The current conditions are reminiscent of the failures in the lates 1980s and 1990s.

Areas in which we have advised clients include:

  • Advising boards and officers of financial institutions and their holding companies on the special duties they owe to those entities and the FDIC.
  • Acquiring the business of failed financial institutions from receivership into existing or de novo banks or saving institutions.
  • Mergers of financial institutions.
  • Financings by financial institutions and their holding companies.
  • Compliance with regulatory capital issues.
  • Proper handling of related party transactions.
  • Handling of distressed assets.

Regulation of financial institutions is rapidly changing, and we see this trend continuing. Therefore, it is important to stay abreast of changes as they are first proposed and then implemented.
